1. Definitions

In these Terms and Conditions, the following definitions apply:

"Company", "we", "us", "our"IPFX Capital, operated by Paul Adeniji. References to the Company mean the operator of the IPFX Capital platform. Contact: enquiries@ipfxcapital.com.
"Platform"The IPFX Capital website (ipfxcapital.com), the IPFX Markets trading interface, the dashboard, and all associated software, tools, and services operated by the Company. IPFX Markets is the sole trading interface through which all Participants must conduct their trading activity. No third-party trading platforms (including MetaTrader 4, MetaTrader 5, cTrader, or any other external software) are authorised or supported for use in connection with any Challenge or Funded Account. All trades must be placed directly through IPFX Markets.
"User", "you", "Participant"Any individual who registers an account, purchases a Challenge, or accesses any part of the Platform.
"Challenge"A free or paid evaluation programme offered by the Company, including the Traditional Challenge, Infinity Challenge, and Personalised Application Challenge (PAC), through which a Participant may demonstrate trading ability.
"Evaluation Account"A simulated trading account provided to a Participant during a Challenge, funded with virtual capital for assessment purposes only. This is not a live trading account; no real funds are placed or risked by the Participant during evaluation.
"Funded Account"An allocation made available following qualification. A written allocation agreement must state whether it is simulated or live, who operates it, and the applicable reward and risk rules. The word funded alone does not make virtual funds withdrawable.
"Qualified Trader"A Participant who has satisfied all requirements of a Challenge and been granted access to a Funded Account in accordance with these Terms.
"Trading Parameters"The specific rules, limits, and conditions applicable to a Challenge or Funded Account, as set out in these Terms, the relevant programme page, or any written agreement with the Participant.
"Profit Split"The performance payment owed where the published eligibility conditions are met, made by the Company to a Qualified Trader from realised profits generated on the Funded Account, calculated as set out in Section 10.
"Challenge Fee"The price of a paid evaluation service, subject to the cancellation and statutory rights in Section 6. Infinity entry is free.
"Trading Data"All trade records, order history, position data, strategies, signals, methodologies, risk parameters, statistical patterns, and any other information generated by a Participant during use of the Platform.
"Prohibited Practice"Any trading behaviour, technique, or approach listed in Section 8 of these Terms or otherwise prohibited by the Company from time to time.
"PAC" / "Personalised Application Challenge"A bespoke evaluation and funding arrangement in which the Participant discloses their trading strategy in advance; the Company may customise parameters through a separate written agreement with the Participant.
"Drawdown"The reduction in account equity from a peak value to a trough, measured as a percentage or absolute monetary value as specified in the relevant programme rules.
"Business Day"Any day other than a Saturday, Sunday, or public holiday in England and Wales.
"UTC day" / "server time"A day running from 00:00:00 to 23:59:59 UTC. Wherever these Terms or programme rules refer to a trading day, a calendar day or server time, they mean UTC.
"Force Majeure Event"Any event beyond the Company's reasonable control, including but not limited to market disruptions, exchange outages, regulatory interventions, liquidity crises, pandemics, cyberattacks, or acts of God.

2. Nature of Services

2.1 Status of the evaluation service

The service offered to Participants is a trading evaluation on virtual capital. IPFX is not FCA-authorised. No term permits us to carry on an activity requiring authorisation without the necessary permission. Any separate allocation must be described and agreed in writing before access is provided.

2.2 Nature of the Challenge

The Challenge is an evaluation service. The Challenge Fee is a service fee paid for access to our assessment platform and proprietary performance benchmarking tools. It is not a deposit, a stake in any financial instrument, or capital placed in any investment vehicle. Evaluation Accounts are simulated environments using virtual capital only. No real money belonging to the Participant is placed in any market during the evaluation phase.

2.3 Allocation arrangements

“Funded” does not by itself mean that a Participant is trading a live brokerage account. Evaluation and funded simulation balances remain virtual. A separate allocation agreement must state the account type, operating entity, applicable rules, reward calculation and Participant’s rights. You do not invest personal capital into the Challenge. The legal nature of a working relationship depends on the facts and applicable law, rather than its label.

2.4 Not a Guarantee of Income

The Company makes no representation, warranty, or guarantee that a Participant will pass any Challenge, receive a Funded Account, or earn any Profit Split. Trading involves substantial risk. Past performance on an Evaluation Account is not indicative of future results on any Funded Account or in any real market.

2.5 No Investment Advice

Nothing communicated by the Company through the Platform, dashboard, educational content, chatbot, support channels, or any other medium constitutes investment advice, a personal recommendation, or a solicitation to trade any financial instrument. You should seek independent financial advice before making any financial decisions. The Company accepts no liability for decisions made based on content published on the Platform.

Participants use a simulated evaluation service. A displayed virtual balance cannot be withdrawn. Eligible performance rewards are separate from that balance.

3. Eligibility and Registration

3.1 Age Requirement

You must be at least 18 years of age to register on the Platform or purchase a Challenge. By registering, you represent and warrant that you are at least 18 years old. The Company reserves the right to request age verification at any time and to immediately terminate any account found to belong to a person under 18 years of age subject to statutory rights and the review process in Section 12.

3.2 Jurisdictional Restrictions

The Platform is not directed at residents of any jurisdiction where our services are prohibited by applicable law. You are responsible for ensuring that accessing and using the Platform is lawful in your country of residence. The Company reserves the right to restrict access to the Platform from any jurisdiction at any time without notice. Without limiting the foregoing, residents of Canada (Ontario) and any OFAC-sanctioned country are not eligible to participate.

3.3 Accurate Information

You must provide accurate, complete, and current information when registering. You must promptly update your information if it changes. Providing false, misleading, or incomplete information is grounds for immediate account termination subject to statutory rights and the review process in Section 12 and may constitute fraud under the Fraud Act 2006.

3.4 One Account per Person

Only one registered identity is permitted per person. Approved trading accounts must sit under that identity. Creating aliases to bypass attempt limits or coordinate evaluation results is prohibited. Linked identities and suspected copying are reviewed under Section 12; sanctions and any disputed reward must relate to the established conduct, rather than automatically taking every unrelated balance.

3.5 No Sharing or Transfer of Accounts

Accounts are personal. You must not sell, lend or transfer your login or let someone else trade the Challenge for you. A specific security concern can cause a protective pause while ownership is checked. A final misconduct decision follows Section 12 and respects applicable rights.

3.6 Password Security

You are solely responsible for maintaining the confidentiality of your login credentials. You must notify the Company immediately at enquiries@ipfxcapital.com if you suspect any unauthorised use of your account. The Company accepts no liability for losses resulting from unauthorised access arising from your failure to safeguard your credentials.

4. Challenge Programmes

4.1 Programme Types

The Company offers the following Challenge programmes, the specific rules of which are set out on the relevant programme pages of the Platform and incorporated by reference into these Terms:

4.2 Programme Rules

Each programme has specific Trading Parameters, including profit targets, maximum daily loss limits, maximum total drawdown limits, minimum trading day requirements, and any other rules published on the Platform. These rules form part of these Terms and are binding on all Participants. In the event of any conflict between these Terms and the programme-specific rules, the programme-specific rules shall prevail only to the extent of the inconsistency.

4.3 Modification of Rules

The Company reserves the right to modify the rules of any Challenge programme at any time. Changes will not apply retroactively to Challenges already purchased and in progress. The Company will provide reasonable notice of material changes via the Platform.

4.4 Assessment, Review and Correction

The Company may review Trading Data to verify compliance before confirming a pass or fail result. A result may be corrected if reliable evidence shows that a rule breach, calculation error, duplicate event, market-data fault or other material factual error affected it. We will give the Participant a concise reason for an adverse result and a reasonable way to request human review or provide relevant evidence. A review does not suspend an active risk limit, but the Company will correct the account and any associated record if the original outcome was wrong. Genuine rule breaches discovered after the event may still invalidate a result.

4.5 Reset Provisions

Where a reset is offered, its scope, eligibility and any price must be disclosed separately before agreement. A reset does not automatically refund an earlier service fee or waive statutory remedies. Infinity uses its free, approved new-run process and monthly breach lockout; an old failed run does not reactivate.

4.6 Infinity Challenge — Detailed Programme Rules

The Infinity Challenge is a four-stage skill evaluation programme. Entry is free of charge. The rules for Stages 1 to 3 are exact and mandatory; the terms of Stage 4 are agreed in writing between you and the Company under clause 4.6.4. Breach of any rule at any stage will result in the outcome described in clause 4.6.5. These rules are reproduced here in full so that no Participant can dispute whether they were made aware of them.

Programme availability: Public Infinity applications open on 9 October 2026. Traditional, Futures and PAC applications and payments remain paused until the Company publishes a separate launch notice.

By activating an Infinity Challenge account, the Participant confirms they have read, understood, and accepted every rule set out in clauses 4.6.0 through 4.6.6 in full.

4.6.0 Automatic Promotion and Key Definitions

Automatic promotion. When you meet every requirement of a stage, including the minimum days, exposure sessions and qualifying trades, with no position open and no rule breached, you move up to the next stage automatically. We create your next-stage account with its own balance, targets and limits and close the previous account. You do not need to apply or claim anything. If a position is still open when you reach the profit target, the stage completes once you are flat and every other requirement is met. Reaching the profit target alone does not complete a stage.

Qualifying trade. A trade closed by you or by your own stop-loss or take-profit, held for at least 60 seconds, that carried a stop-loss within 30 seconds of opening and was not removed from progress under clause 4.6.6. Partly closing a position does not create an extra qualifying trade. Each stage requires a minimum number of qualifying completed trades: 30 in Stage 1, 60 in Stage 2 and 40 in Stage 3.

Meaningful trading day. A UTC day on which at least one qualifying trade was opened and closed.

4.6.1 Stage 1 — Evaluation ($1,000 Virtual Capital)

Stage 1 is the initial skill filter. The Participant trades a simulated $1,000 account subject to all of the following rules simultaneously — all rules apply at all times and there are no exceptions:

4.6.2 Stage 2 — Funded Simulation ($5,000 Simulated Capital)

On passing Stage 1, the Participant is promoted to Stage 2 and granted access to a $5,000 simulated funded account. The consistency and minimum-day requirements assess performance over time, but passing Stage 2 does not establish or guarantee future profitability. All rules below apply simultaneously:

4.6.3 Stage 3 — Qualification ($10,000 Simulated Capital)

Stage 3 is the final simulated evaluation stage. The Participant's trading history from prior stages is reviewed by IPFX upon completion. All rules below apply simultaneously:

4.6.4 Stage 4 — Your Allocation, Agreed With Us

Stage 4 is a trust-based arrangement agreed between you and the Company; it is not another test. Completing Stage 3 creates eligibility for a discussion of your allocation. It does not guarantee live-market access or a particular allocation.

4.6.5 Failure and Restart Rules

Critical rule: For new Infinity payout requests, the Stage 2 share is displayed as held but cannot be withdrawn before full Stage 3 completion. The combined payable share must reach US$500 and is capped at US$700. A payout already validly requested under earlier terms is not erased by later trading and remains subject to identity, fraud, data-integrity and payout-method review.

4.6.6 Stop-loss warnings and failed-account lockout

Keep a valid stop-loss on every Infinity position. If a position remains without one after 30 seconds, it is closed automatically. Positive profit from that trade is removed; losses remain. The trade is excluded from Challenge progress. Each distinct offending trade records one automatic strike. Three strikes in the same run end the run. Strikes reset on a new approved run, but the next-month lockout in clause 4.6.5 still applies. A separate team warning is a notice and does not create a second strike for the same event.

Touching or falling below either loss floor can fail the account on the first usable persisted equity observation. Equity includes unrealised positions using executable bid/ask prices. Intraday trailing drawdown follows the observed equity peak; daily calculations use UTC and the applicable account’s saved rule version. A price recovery does not undo a breach. Protective closes continue, and order attempts show the failure and next eligibility date. Technical failures, missing prices or execution delay do not guarantee an exact exit at a stop or loss floor.

4.7 Traditional Challenge — Detailed Programme Rules

The Traditional Challenge is a paid three-phase evaluation programme. The applicable fee and account size are selected at purchase. All rules below are exact, mandatory, and non-negotiable. By activating a Traditional Challenge account, the Participant confirms they have read, understood, and accepted every rule set out in clauses 4.7.1 through 4.7.5 in full.

4.7.1 Traditional Three-Phase Programme

The Traditional programme requires the Participant to pass three sequential evaluation phases before being considered for a Funded Account. The rules for each account size are as follows. All monetary values are in USD. All three phases are conducted on simulated accounts.

Account SizePhase 1 TargetPhase 2 TargetPhase 3 TargetMax Daily LossMax Overall Loss
$10,0008% ($800)5% ($500)4% ($400)3% ($300)6% ($600)
$25,0008% ($2,000)5% ($1,250)4% ($1,000)3% ($750)6% ($1,500)
$50,0008% ($4,000)5% ($2,500)4% ($2,000)3% ($1,500)6% ($3,000)
$100,0008% ($8,000)5% ($5,000)4% ($4,000)3% ($3,000)6% ($6,000)
$200,0008% ($16,000)5% ($10,000)4% ($8,000)3% ($6,000)6% ($12,000)

Rules applicable to every phase and account size:

4.7.2 Futures Challenge (Two-Phase)

The Futures Challenge requires the Participant to pass two sequential evaluation phases using an end-of-day (EOD) trailing drawdown model. This programme has no consistency rule. The rules for each account size are as follows:

Account SizePhase 1 TargetPhase 2 TargetTrailing DrawdownDaily Loss Limit
$25,0006% ($1,500)4% ($1,000)4% ($1,000) EOD trailing2% ($500)
$50,0006% ($3,000)4% ($2,000)4% ($2,000) EOD trailing2% ($1,000)
$100,0006% ($6,000)4% ($4,000)4% ($4,000) EOD trailing2% ($2,000)
$150,0006% ($9,000)4% ($6,000)4% ($6,000) EOD trailing2% ($3,000)

Rules applicable to all Futures Challenge accounts:

4.7.3 Traditional Challenge Funded Account Rules

Upon passing the relevant evaluation phase(s), the Participant may be granted access to a Funded Account. The following applies to all Traditional Challenge Funded Accounts:

4.7.4 Prevention of Exploitation

The Traditional Challenge rules are designed to evaluate genuine trading skill. The Company actively monitors all accounts for exploitation attempts. The following behaviours specifically constitute breaches of the Traditional Challenge rules and will result in immediate account termination with no refund or payment:

Suspected exploitation is reviewed using the available evidence. We provide a reason for an adverse decision unless disclosure is restricted by law or would expose another person’s private information. You may give evidence, challenge inaccurate data and request a human review through enquiries@ipfxcapital.com.

4.7.5 Traditional Challenge Failure

Breaching any Trading Parameter at any point during a Traditional Challenge evaluation phase constitutes immediate phase failure. Phase failure means:

5. Fees and Payment

5.1 Challenge Fees

All Challenge Fees are stated in United States Dollars (USD) unless otherwise indicated. Fees are subject to change at any time. The fee applicable at the time of purchase is the fee payable; changes do not affect purchases already completed.

5.2 Payment Processing

Payments are processed by third-party payment processors. By completing a purchase, you agree to the terms of the applicable payment processor. The Company does not store or have access to your full payment card details.

5.3 Currency and Taxes

You are responsible for any currency conversion costs, banking fees, or taxes applicable to your purchase under the laws of your country of residence. The Company does not collect Value Added Tax (VAT) or any other tax on Challenge Fees unless legally required to do so, in which case it will be added to the stated fee.

5.4 Chargebacks

You may raise a legitimate dispute with your payment provider and make a complaint without automatic punishment. We may contest a dispute using accurate transaction and service evidence, investigate suspected fraud and apply proportionate safeguards. A chargeback is not by itself proof of fraud or a reason to confiscate an unrelated earned reward.

6. Cancellation, refunds and technical corrections

6.1 Free Infinity entry

No entry fee is charged for Infinity, so there is no entry fee to refund. Separate paid programmes remain unavailable until expressly launched with complete price and contract information.

6.2 Paid services and cancellation

Where the Consumer Contracts Regulations apply, a consumer generally has 14 days from entering a service contract to cancel. Contact enquiries@ipfxcapital.com with your name and order reference; a particular form is not required. A first trade or activation does not by itself remove this right. If you expressly ask for an early start after receiving the required information, a lawful proportionate charge may apply for service already supplied when you cancel. A service cancellation right ends on full performance only where the required express request and acknowledgement were obtained. Separate digital content must satisfy its own consent and confirmation rules; accepting the general Terms alone is insufficient.

6.3 Rule failures and statutory rights

A valid rule failure does not by itself entitle you to a replacement paid challenge. It does not remove statutory cancellation rights, remedies for a service not supplied as agreed, or the right to dispute an incorrect failure. Any permitted deduction must be reasonable and explained. Refunds due under applicable law are processed within the applicable legal deadline.

6.4 Technical issues

Report a suspected calculation, data or platform error with the account, trade and time concerned. We will examine saved evidence and explain the outcome. Confirmed errors require an appropriate correction or remedy; an extension or replacement is not your sole remedy where the law provides more. Market movement and ordinary spread changes alone are not a platform fault.

7. Evaluation Rules and Trading Parameters

7.1 Compliance is Mandatory

Published trading limits are mandatory. A numerical risk breach can fail the run automatically. Consequences for restart, pending earnings and review follow the applicable saved programme rules and Section 12. A breach does not remove statutory remedies or an unrelated, already valid payment request.

7.2 Maximum Daily Loss

A Participant must not allow their account equity or balance to fall by more than the specified maximum daily loss limit (as published on the relevant programme page) within any single trading day (measured from 00:00 to 23:59 server time). Breach of the daily loss limit on any single day constitutes an immediate rule breach regardless of the overall account performance.

For Evaluation Accounts opened on or after 1 October 2026, each trading day's starting level is the higher of the account balance and the account equity at 00:00 UTC, so a floating loss carried over midnight counts towards the new day's limit.

7.3 Maximum Total Drawdown

A Participant must not allow their account to sustain a total drawdown (whether trailing or static, as specified per programme) exceeding the stated maximum. Reaching or exceeding the maximum drawdown limit will result in automatic or manual account closure.

7.4 Minimum Trading Days

Certain programmes require a minimum number of active trading days before a Participant may claim completion of an evaluation phase. A "trading day" is defined as a calendar day on which at least one trade was opened and closed. Partially-meeting this requirement does not constitute compliance.

For Evaluation Accounts opened on or after 1 October 2026: a trade counts towards minimum trade and trading-day requirements only if it was held for at least 60 seconds; partially closing a position does not create additional counted trades; and a trading day counts as profitable only if it closes with a profit exceeding 0.25% of the starting balance (0.05% in Infinity Stage 2).

7.5 Consistency Requirements

The Company may impose consistency requirements, including but not limited to: limits on the maximum profit achievable in a single trading day as a percentage of total profit, requirements that no single day's profit or loss disproportionately dominates overall results, and minimum trade count requirements. These requirements are designed to identify skilled, systematic traders rather than those relying on single high-risk trades. Details are set out on the relevant programme page and may be updated from time to time.

7.6 Overnight and Weekend Positions

Unless otherwise stated in programme rules, Participants are permitted to hold positions overnight and over weekends. The Company reserves the right to restrict overnight or weekend holding in specific market conditions or at its sole discretion with reasonable notice. The Company accepts no liability for losses resulting from gap risk on open positions. Futures Challenge accounts must be flat by 16:00 Central Time each trading day (the start of the daily CME maintenance break) and cannot hold positions over the weekend; the platform closes any position still open when the session ends.

7.7 Lot Size and Position Limits

Participants must not exceed the maximum lot size or aggregate position size specified for their programme. Using position sizes designed to hit drawdown limits or profit targets through single-trade gambles rather than sustained trading skill constitutes a breach of these Terms.

Dynamic risk protection. The maximum risk per trade shown for a programme is a base cap, not a guaranteed allowance. At order entry and whenever a stop-loss is changed, the Platform applies the lower of: (a) the programme's base cap; (b) 20% of the remaining maximum-drawdown room; and (c) 25% of the remaining daily-loss room. A trade that would exceed the resulting live limit is rejected. This prevents a Participant from using the remaining loss allowance as a single gamble while leaving normal-sized trades unaffected when the account is comfortably within its limits.

For Evaluation Accounts opened on or after 1 October 2026 on programmes with a maximum risk per trade, the combined risk of all open positions (measured from each position's entry price to its stop-loss) may not exceed three times that per-trade limit. Orders that would exceed it are rejected.

7.8 Instrument Restrictions

Participants may only trade instruments made available on the Platform for their specific programme. Trading unavailable instruments, or attempting to circumvent instrument restrictions, is prohibited. Cryptocurrencies are not offered.

7.9 Manipulation of Evaluation Outcome

Any trading behaviour that the Company, in its sole reasonable judgement, determines to be designed primarily to manipulate the outcome of the evaluation — rather than to demonstrate genuine, consistent trading skill — will result in immediate account termination subject to statutory rights and the review process in Section 12. This includes but is not limited to: single large-position gambling strategies, placing simultaneous opposing positions solely to guarantee a daily return, and reverse-engineering the exact parameters to achieve minimum compliance.

7.10 Order Execution and Trading Costs

The Platform is a simulated trading environment. To reflect real market conditions, and to prevent exploitation of price delivery latency, the following apply to Evaluation Accounts opened on or after 1 October 2026 and to any Funded Account arising from them:

Execution costs are recorded on every trade and shown in your trade history. The rates above may be changed in accordance with Section 18.

8. Prohibited Trading Practices

The following practices are prohibited on all Evaluation Accounts and Funded Accounts. If a Prohibited Practice is established, whether or not it produced a profit, the account may be closed, fees and pending Profit Splits may be forfeited to the extent the law allows, and you may be barred from the Platform. The Company may use automated detection, manual review and third-party analysis tools to identify Prohibited Practices.

We may pause or restrict an account at once to protect the Platform. Before a final decision on a Prohibited Practice we follow Section 12: we give you the reason and a chance to respond, and a person reviews the evidence. We may act without telling you first only where the law, an active investigation or a regulator's request prevents it. If a Prohibited Practice is confirmed, no refund, Profit Split or compensation is payable for the affected account, subject to your statutory rights.

8.1 Arbitrage and Latency Exploitation

You must not engage in any form of arbitrage involving the Platform, including:

Minimum holding time. For Evaluation Accounts opened on or after 1 October 2026, profit from any trade closed less than 60 seconds after it was opened does not count towards the profit target. Losses from such trades still count in full. Partially closing a position does not reset its opening time.

Infinity Challenge payouts — 1-minute minimum. On Infinity Challenge accounts, trades must be held for at least 1 minute to be eligible for payouts. For trades opened from 30 September 2026, 23:00 UTC, profit from any trade closed less than 60 seconds after it was opened is excluded when the Company calculates any Infinity payout, including the held Stage 2 share and the Stage 3 combined payout. Losses from such trades still count in full, so this rule can never increase a payout. Partially closing a position does not reset its opening time. IPFX Markets shows a warning before an Infinity trade is closed within its first minute; stop-loss and take-profit closes are subject to the same rule.

Order rate. No more than 5 new orders (market or pending) may be placed on an account in any 10-second period. Orders above this rate are rejected and are not executed.

8.2 Account Hedging and Coordinated Trading

You must not:

Opposing positions on the same instrument held by different Participants trading from the same network or device are automatically flagged and may be investigated under this Section.

Automatic detection. We compare activity across accounts. Repeated opposite positions in the same instrument within seconds of each other across accounts, with a combined result close to zero, are treated as a coordinated hedge even where the accounts belong to different people. We also compare identity details and documents across accounts, and may pause the accounts involved while we review where the same document or the same person appears on more than one registered identity. A flag is a reason to review and is not a finding. If a review under Section 12 confirms a breach, the affected accounts fail, held earnings on them are forfeited and the people involved may be refused further entry.

8.3 Copy Trading, Signal Services, and Third-Party Assistance

Evaluation must reflect your own trading decisions. Copying, coordinating or distributing the same trade-by-trade signals across two or more IPFX Participants’ accounts is prohibited, including a shared external signal stream used to pass Challenges. Using a similar strategy family, instrument, indicator or public analysis is not by itself a breach. Your own permitted tools do not excuse coordinated entries/exits, account sharing or a challenge-passing service.

We compare repeated entry/exit timing, instruments, directions and other available evidence across accounts. A matching trade, shared internet connection or detector score alone is not proof of misconduct. Flags lead to proportionate review; we consider your explanation before a final misconduct decision. A temporary entry pause may protect the review. Existing positions can still be closed. A review pause is separate from an actual loss-limit breach.

You must not:

Copying trades into or between IPFX accounts is prohibited. A Participant account found to be involved in a prohibited copying arrangement may be terminated in accordance with these Terms. This Section does not restrict the Company's own trading under Section 11.3.

The Company uses automated pattern-matching analysis, cross-account trade correlation detection, IP address logging, and device fingerprinting to identify prohibited copying between IPFX accounts. Correlated trading across two or more accounts will trigger an investigation. Accounts that independently copy the same permitted outside source are not in breach for that reason alone; accounts found to be part of a prohibited arrangement may be terminated.

8.4 Algorithmic Trading — Submission and Approval Required

All trading on the Platform must be conducted directly through IPFX Markets. Third-party trading software, Expert Advisors (EAs), external bots, or any application that connects to the Platform programmatically without Company authorisation is strictly prohibited. Algorithmic trading strategies may only operate on a Participant's account where all of the following conditions are met:

8.5 News Trading Restrictions

Where specified in programme rules, you must not open or close trades within the defined window before or after a scheduled high-impact economic news event. The restricted instruments and time windows will be published on the Platform. Trades opened within a restricted news window may be cancelled by the Company at its sole discretion and will not count toward profit calculations.

8.6 Martingale, Grid, and Averaging Strategies

Martingale, grid trading, and aggressive averaging-down strategies that systematically increase position size following losses are prohibited unless specifically approved in writing for a PAC arrangement. These strategies are prohibited because they can generate misleadingly favourable statistics on simulated accounts that are not reproducible with real capital.

8.7 Multiple Account Coordination

You must not open multiple Evaluation Accounts simultaneously with the purpose of running the same strategy across all accounts and only claiming the profitable outcomes ("account flipping"). If the Company determines that a Participant is running identical or substantially similar strategies across multiple accounts and selectively claiming results from profitable accounts while discarding losing ones, all accounts will be terminated subject to statutory rights and the review process in Section 12 or payment.

8.8 Exploitation of Platform Errors

If the Platform displays incorrect prices, allows trading outside normal market hours due to an error, or otherwise malfunctions in a manner that could be exploited for profit, you are obligated to report the error immediately to enquiries@ipfxcapital.com and must not take advantage of it. Any profits generated from Platform errors are void and will be reversed. Deliberate exploitation of a known Platform error is a material breach of these Terms.

8.9 Gambling and Non-Strategy Trading

Placing single trades of disproportionate size relative to account balance, with the sole purpose of hitting an evaluation target in a single outcome rather than demonstrating consistent trading skill, is prohibited. Any account where the Company determines the pattern of trading does not reflect genuine skill-based decision-making may be reviewed, and any results generated from such trading may be voided at the Company's sole discretion.

8.10 Insider Trading and Market Manipulation

You must not engage in any trading activity that constitutes insider dealing, market manipulation, or any other market abuse within the meaning of the Market Abuse Regulation (retained in UK law as UK MAR) or the Criminal Justice Act 1993. You must not use any material non-public information in making trading decisions on the Platform.

8.11 VPN and Jurisdiction Circumvention

You must not use a VPN, proxy, or any other tool to mask your true geographic location or to circumvent jurisdictional restrictions applicable to your place of residence. Use of a VPN to access the Platform from a restricted jurisdiction is grounds for immediate account termination subject to statutory rights and the review process in Section 12.

9. Allocations following qualification

A professional allocation requires a separate written confirmation specifying its simulated or live nature, operator, size, rules and reward calculation. Completing an evaluation does not guarantee a particular allocation, scaling or income. No participant deposit is required for market capital, and virtual balances cannot be withdrawn.

Any operational restriction must have a stated, reasonable risk, security, legal or performance basis and respect accrued contractual rights. Urgent risk protection may occur immediately; other material changes require appropriate notice or agreement. A separate agreement cannot remove rights which the law makes mandatory. The actual legal relationship depends on how the arrangement operates.

10. Profit Distributions

10.1 Profit Split Entitlement

A Qualified Trader is entitled to request a Profit Split on profits realised on their Funded Account, subject to all conditions in this Section and compliance with all applicable Trading Parameters and these Terms. The Profit Split percentage applicable to each programme is published on the Platform and incorporated by reference.

10.2 Conditions for Payment

A Profit Split will only be processed upon satisfaction of all of the following conditions:

Infinity. For the Infinity Stage 3 payout, clause 4.6 applies in place of the seven-day wait and the single-trade consistency check in this clause 10.2, and in place of the first-payout profit threshold in clause 10.8. Infinity Stage 4 payouts follow the written Stage 4 agreement under clause 4.6.4. Unless that agreement says otherwise, they may be requested every 14 days, subject to the US$500 minimum, with no first-payout profit threshold.

10.3 Discretionary Nature

The Profit Split is a discretionary performance payment made by the Company at its sole discretion from the profits of its own trading account. It is not a contractual entitlement to any specific sum. Where the Company determines, acting reasonably, that the profits generated by a Qualified Trader were produced through Prohibited Practices, manipulation, exploitation of Platform errors, or any other non-genuine trading activity, the Company may withhold some or all of the Profit Split without liability. We may also recover an amount paid in error, or one later shown to derive from a Prohibited Practice, giving you an explanation and a way to challenge it.

10.4 Payment Method and Timing

Profit Split requests are processed within the timeframe stated on the Platform (typically 1–5 Business Days). Payment will be made to the Qualified Trader's verified payment method only. The Company will not make payments to third parties. Payment processing times may vary depending on the payment provider and the Qualified Trader's banking jurisdiction.

10.5 Tax Obligations

Qualified Traders are solely responsible for all tax obligations arising from receipt of a Profit Split in their country of residence or any other applicable jurisdiction. The Company does not withhold tax on Profit Split payments except where legally required to do so. The Company will provide such payment records as may reasonably be required for a Qualified Trader to fulfil their tax obligations on request.

10.6 Right of Set-Off

A payment may be offset only against a supported amount legally due from the same Participant, with an explanation and a way to challenge it. We do not impose an arbitrary investigation fee or offset unrelated business losses against a reward. Statutory rights remain.

10.7 Suspension of Payouts

The Company may suspend all Profit Split processing in the event of a Force Majeure Event, a regulatory instruction, a platform security incident, or any other exceptional circumstance. The Company will resume processing as soon as reasonably practicable and will notify affected Qualified Traders.

10.8 Minimum Profit Threshold for First Payout

Notwithstanding any other condition in this Section, a Qualified Trader's first Profit Split request on any Funded Account will not be eligible for processing until the Qualified Trader has achieved a minimum net realised profit of 5% of the Funded Account's starting balance since the date of Funded Account activation. This minimum profit threshold applies to all programme types as follows:

The first-payout threshold for the separately launched paid programmes is measured on eligible closed profit. Saved records are the primary calculation evidence, but errors can be challenged and reviewed. This generic paid-programme threshold does not replace Infinity’s full Stage 3 completion, US$500 minimum and US$700 cap.

Once the minimum threshold is met, all other conditions in Section 10.2 must also be satisfied before the first Profit Split will be processed. Meeting the minimum threshold alone does not guarantee payment.

What this means in plain terms: Before you can withdraw any profit from your funded account, you need to first prove your strategy works by generating at least 5% profit on your starting balance. For example, on a $25,000 funded account, you need to reach at least $1,250 in closed net profit before your first payout request becomes eligible. This is a one-time requirement that applies only to your first payout — subsequent payouts follow the standard conditions in Section 10.2.

10.9 Entry Fee Credit on First Payout Eligibility

This clause does not apply to the Infinity Challenge, which has no entry fee.

As an incentive for Qualified Traders who demonstrate genuine profitability on their Funded Account, the Company will apply a credit equal to the Challenge Fee paid by the Qualified Trader in respect of that programme to the first eligible Profit Split payment, subject to the following conditions:

What this means in plain terms: Once you hit 5% profit on your funded account and become eligible for your first payout, IPFX will add your original challenge entry fee on top of your first profit split. For example, if your challenge cost £199 and your first Profit Split is £500, you will receive £699 on your first payment. This is our way of rewarding Traders who genuinely prove their strategy works.

11. Intellectual Property and Use of Trading Data

This Section sets out IPFX Capital's rights in respect of your Trading Data. Please read this Section carefully. By activating any Evaluation Account or Funded Account, you agree to each provision in this Section.

11.1 Company's Intellectual Property

All intellectual property rights in and to the Platform, including without limitation the software, design, content, logos, trade marks, data models, evaluation algorithms, and proprietary performance benchmarks, are owned by or licensed to the Company. Nothing in these Terms grants you any right, title, or interest in the Company's intellectual property beyond the limited licence to use the Platform for your own evaluation and trading purposes.

11.2 Licence to Use the Platform

Subject to compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for the purposes of participating in your Challenge or operating your Funded Account.

11.3 Use of Trading Data for Risk Management and Platform Improvement

By activating any account, you grant the Company a non-exclusive, worldwide licence to observe, record, store, and analyse the Trading Data generated on your account, for the following purposes only:

Company trading (copying, A-book and B-book). The Company may, at its sole discretion, use your Trading Data — including your individual, identifiable orders and positions — to place, copy, mirror, replicate, hedge or offset trades in accounts operated by or for the Company, including accounts held with third-party brokers or liquidity providers. The Company may treat the activity on any account as internalised (B-book), as externally routed, copied or hedged (A-book), or as a combination of both, and may move any account between these models at any time without notice. These are the Company's own risk-management and business decisions: they do not change your Challenge rules, results, Profit Split or payout eligibility, and you are not entitled to any share of the profit, nor responsible for any loss, from the Company's own trading.

Demo, practice and simulated copies. The Company may also copy your orders onto demo or practice accounts that it operates, including accounts with third-party brokers, and may simulate your trades internally using recorded market prices. A simulation can reverse or mirror your trades, scale them to a different account size, and apply assumed delays, spreads and costs. We do this to study and test risk models, to estimate how a trade would have performed on a larger funded or live account, and to decide how to treat an account. A demo or simulated result is an estimate: it is not your result, it does not change your Challenge outcome or payout eligibility, and it gives you no claim to any profit.

What we send to brokers. To copy, hedge or route a trade we may send a broker or liquidity provider the order details: instrument, direction, size, price, stop-loss, take-profit and timing, attached to the Company's own account with them. We do not send them your name, contact details or identity documents.

Conflict of interest. The Company acts as principal in its own trading and may take the opposite side of your simulated trades. It has no duty to place the same trade, price or size as you, and no duty to tell you whether, when or how it copied, hedged or routed any account. We disclose this conflict of interest here so that you can decide whether to participate.

For accounts activated on or after 1 October 2026 this paragraph applies from activation. For accounts activated before that date it takes effect on 15 October 2026, in accordance with Section 18.

11.4 Participant Warranties Regarding Trading Data

By activating any account, you represent and warrant to the Company that:

11.5 Confidentiality of Platform

You must not disclose, reproduce, reverse engineer, decompile, or attempt to extract the source code or proprietary algorithms of any part of the Platform. You must not publish, share, or communicate the specific technical parameters of the Platform's evaluation systems, order routing, or pricing mechanics beyond what is publicly stated by the Company.

11.6 User Content

Any feedback, suggestions, ideas, or other communications you submit to the Company regarding the Platform become the Company's sole property. The Company may use such submissions for any purpose without restriction or compensation to you.

11.7 Strategy Analytics and Demo Validation

For internal risk research and platform improvement, the Company may create an explainable hypothesis about a Participant's trading style from observable Platform activity. Inputs may include instruments, order timing and frequency, position size, holding period, stop-loss and take-profit placement, market regime, scheduled-news proximity, and the indicator identifiers, timeframe and chart style the Participant saves in IPFX Markets. A hypothesis is an estimate, not a statement of the Participant's intent, ownership of a method, future performance or misconduct.

The Company may test a hypothesis through a separate simulated paper plan and compare the plan with later Platform activity to measure whether the hypothesis remains supported. These paper plans do not place or authorise live orders, do not alter the Participant's account, and are not investment advice. Strategy hypotheses and paper-plan scores are decision-support evidence only and do not by themselves determine Challenge approval, pass or fail status, payout eligibility, suspension, termination or any disciplinary outcome.

Company trading. The Company's right to copy, hedge or route trading activity, and to move accounts between A-book and B-book models, is set out in Section 11.3. Those decisions are internal risk-management decisions and are not Challenge requirements.

12. Account restrictions, failure and review

12.1 Risk failures

Published numerical risk limits and the Infinity stop-loss strike rule can be enforced automatically. A failed run stops new entries and follows its published restart restrictions. These safeguards are distinct from a finding of fraud or copying.

12.2 Review of suspected misconduct

We may pause new entries and cancel resting orders where there is a specific, reasonable security, identity or rule concern. We record the reason and notify you in the Platform where lawful. Existing positions remain subject to normal protective closing. Repeated matching trades are review evidence, not an automatic cheating verdict. A team member must consider the relevant evidence and your explanation before imposing a final misconduct sanction. Removing a review pause does not revive a failed Challenge or override other lawful restrictions.

12.3 Outcomes and accrued rights

Any restriction or sanction must relate to the established breach and its effect. A valid previously requested payout is not forfeited solely because later trading failed, you requested cancellation, or you made a complaint or legitimate payment dispute. We may hold a disputed amount while investigating and explain the basis where lawful. We do not confiscate unrelated earned rights or impose an arbitrary investigation charge. Programme closure for business reasons must respect existing contractual and statutory rights.

12.4 Complaints and human reconsideration

Contact enquiries@ipfxcapital.com with the account, issue and supporting evidence. We aim to acknowledge within five Business Days and provide a reasoned response within 20 Business Days; if more time is needed, we explain why and provide an update. You can request human reconsideration of a significant automated decision, correct inaccurate inputs and present your view. Making a complaint does not waive court, statutory or data-protection rights. We may withhold details only where law or another person’s privacy requires it.

12.5 Closing your account

You may request closure at any time. Applicable refund, earned-payment, record-retention and complaint rights survive closure. Identity information is retained only under the purposes and review schedule in the Privacy Policy.

13. Identity Verification and Financial Crime Controls

13.1 KYC Obligation

The Company applies risk-based identity, eligibility, sanctions and financial-crime controls when reviewing a Challenge application and may repeat those checks before a Profit Split payment. These controls support platform security, fraud prevention, contractual eligibility and compliance with applicable law. The precise checks may vary by jurisdiction, product and risk.

13.2 Required Documents

Before a Challenge application can be approved, and again later if information expires or risk changes, you must provide:

13.3 Right to Withhold Payment Pending Verification

The Company may withhold any Profit Split payment pending successful completion of KYC verification. If requested documents are not supplied within 30 days, we may pause the review and contact you about reasonable next steps. That deadline alone does not automatically confiscate an otherwise valid payment.

13.4 Suspicious Activity

The Company may be required or entitled to report suspected criminal property, sanctions concerns or other suspicious activity to the National Crime Agency, law enforcement or another competent authority. Where applicable law prohibits disclosure of a report or investigation, the Company will not inform the Participant.

13.5 Right to Freeze and Report

Where the Company suspects any account of being involved in financial crime, it may immediately freeze the account, suspend all pending payments, and report the matter to the relevant law enforcement authorities, and, where the law, an active investigation or a regulator's request prevents it, without notifying the Participant or giving reasons.

14. Data Protection

14.1 UK GDPR Compliance

The Company processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. By registering on the Platform, you acknowledge that the Company will process your personal data as described in our Privacy Policy, which is incorporated into these Terms by reference.

14.2 Data You Provide

We collect and process the personal data you provide during registration and Challenge review, including legal name, contact details, date of birth, residential address, nationality, occupation, source of funds, intended activity, PEP declaration, identity documents and payment information, for the purposes explained in our Privacy Policy.

14.3 Trading Data

We collect and retain all Trading Data generated on the Platform. This data is used for the purposes described in Section 11 (Intellectual Property and Use of Trading Data) and may be retained for legitimate business and compliance purposes, consistent with our data retention practices described in Section 14.5. Trading Data, in anonymised and aggregated form only, may be shared with third parties for research or platform-improvement purposes.

14.4 International Transfers

Where the Company transfers personal data outside of the United Kingdom, it will do so only where adequate safeguards are in place in accordance with UK GDPR requirements.

14.5 Data Retention

The Company retains personal data only for as long as necessary for the purpose for which it was collected, applicable legal obligations, security, fraud prevention and disputes. Identity documents for an unsuccessful or abandoned application are scheduled for review after 12 months. Records connected with an approved Challenge are scheduled for review after five years, subject to any later end of the relationship, legal hold, active investigation or applicable statutory requirement. The current retention details are set out in the Privacy Policy.

14.6 Profiling, Explanation and Human Review

We use profiling to support performance, fraud and rule reviews. Numerical loss-limit failures, stop-loss strikes, entry restrictions and internal routing selections can be automatic. Correlation and strategy hypotheses are estimates; they do not by themselves prove misconduct. You can request information about a significant decision, give your view, correct inaccurate data and obtain meaningful human reconsideration. These safeguards do not suspend protective risk limits while a review is pending.

14.7 Identity documents

Identity documents are stored privately. You can upload them but cannot download them again. Only the Company owner can open them, only for verification, payout or fraud checks, using a link that expires after 60 seconds, and each opening is recorded. Personal details such as date of birth, phone number and street address are hidden in review queues until the owner asks to see them for one person at a time, and each such request is also recorded. Identity documents are not shared with brokers or liquidity providers.

15. Service quality and simulated execution

We must supply the service with the care and skill required by applicable law and in accordance with material information provided before agreement. We do not promise uninterrupted availability, a successful Challenge or future income. Challenge execution is simulated; displayed charts, server decision prices and another market’s prices may differ. Bid/ask spread, sampling, market gaps, processing delays and relevant published costs can affect results. A chart price is not a guarantee of an order fill. No internal estimate should be represented as a confirmed broker fill or verified broker net profit. Technical issues are reviewed under Section 6.

16. Responsibility and liability

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or liability and consumer remedies which cannot lawfully be limited. Eligible contractual rewards and statutory refunds are not subject to a zero-fee liability cap. For consumers, we remain responsible for foreseeable loss caused by our breach of contract or failure to use legally required care and skill. We do not guarantee trading success or returns. You are not liable for losses on the Company’s separate trading accounts solely because it used your signals. If an event outside our reasonable control delays service, we notify affected users where practicable, take reasonable steps to reduce the impact and preserve applicable cancellation, refund and earned-payment rights.

17. Misconduct and recovery of losses

A Participant may be responsible for loss directly caused by their proven fraud, deliberate unlawful conduct or infringement, to the extent permitted by law. This is not an unlimited consumer indemnity, an obligation to pay for our own wrongdoing, or a penalty for making a complaint or legitimate chargeback. Any recovery must be supported by evidence, reasonably quantified and subject to legal rights to challenge it.

18. Rule versions and changes

The rules and material reward conditions agreed when your run starts are saved for that run. Changes for new runs must be published prominently with a version and effective date. We do not retrospectively worsen an active run’s targets, payment conditions or restart rights merely by editing the website. A required legal or urgent security change must be explained, limited to what is necessary and accompanied by any rights the law requires. Material changes to an existing contract require a lawful basis and appropriate notice or agreement; silence or continued use is not a blanket waiver of consumer rights.

19. Governing law and disputes

English law governs these Terms, subject to mandatory protections applying to a consumer in their place of residence. Consumers may bring proceedings in any court made available by applicable law, including Scotland or Northern Ireland where relevant. Nothing requires you to waive those rights, postpone urgent court relief, or accept the Company’s decision as binding arbitration. We welcome direct complaints first but do not prevent a lawful complaint to a regulator or court.

20. General Provisions

20.1 Entire Agreement

The saved programme rules, these Terms and any separately agreed allocation terms form the agreement, together with pre-contract information that applicable law makes binding. This clause does not exclude liability for a misleading statement or remove consumer or data-protection rights.

20.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

20.3 No Waiver

Failure by the Company to enforce any right or provision of these Terms at any time shall not constitute a waiver of such right or provision and shall not prevent the Company from enforcing it at a later time.

20.4 Assignment

You may not assign, transfer, or sub-license any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

20.5 Third-Party Rights

These Terms do not confer any rights on any third party pursuant to the Contracts (Rights of Third Parties) Act 1999. The parties may vary or rescind these Terms without the consent of any third party.

20.6 Electronic Communications

By using the Platform, you consent to receive communications from the Company electronically. Electronic communications satisfy any legal requirement that communications be in writing. You accept that any contract formed through the Platform constitutes a valid and enforceable agreement.

20.7 Language

These Terms are written in the English language. In the event of any inconsistency between an English version and any translation, the English version shall prevail.

20.8 Contact

All legal notices and queries relating to these Terms should be directed to:

21. Affiliate and Referral Programme

21.1 Programme Overview

The Company operates an affiliate and referral programme ("Referral Programme") under which registered Participants may earn referral credits or commissions by introducing new paying customers to the Platform. Participation in the Referral Programme is subject to these Terms and any additional terms published on the Referral Programme page of the Platform, which are incorporated by reference. In the event of conflict, the specific Referral Programme terms prevail over this Section to the extent of the inconsistency.

21.2 Referral Cap

Each registered user account is subject to a maximum referral limit as published on the Referral Programme page of the Platform. The Company reserves the right to set, amend, or remove referral caps at any time with reasonable notice. Where no specific cap is stated on the Referral Programme page, a default limit of 50 qualifying referrals per calendar year applies per registered user account. Referrals in excess of the applicable cap will not generate any reward, credit, or commission. The Company is not liable for any referral activity conducted in anticipation of a cap being raised or removed.

21.3 Qualifying Referrals

A referral qualifies for a reward only where all of the following conditions are met:

21.4 Referral Rewards

The reward structure for qualifying referrals is published on the Referral Programme page. Rewards may take the form of account credit, cash commission, fee discounts, or other incentives as determined by the Company. Rewards are not guaranteed until the referred purchase has cleared and the attribution window has closed. The Company reserves the right to withhold or reverse any referral reward where it determines, acting reasonably, that the referral was fraudulent, manufactured, or in breach of these Terms.

21.5 Referral Programme and Copy Trading — Strict Prohibition

The Referral Programme must not be used, directly or indirectly, to circumvent the copy trading prohibition in Section 8.3. Without limiting that prohibition, the following are expressly prohibited in connection with the Referral Programme:

Using referrals to organise prohibited account copying or false registrations can lead to a proportionate sanction after review under Section 12. We may reverse a reward connected with proven abuse; unrelated Participants are not automatically sanctioned merely because they were referred by the same person.

21.6 No Employment or Agency

Participation in the Referral Programme does not create any employment, agency, partnership, or joint venture relationship between the Participant and the Company. Participants acting as affiliates or referrers do so as independent parties. Participants may not represent themselves as employees, agents, or authorised representatives of IPFX Capital in any marketing, advertising, or communication material.

21.7 Marketing Compliance

Participants promoting the Referral Programme must comply with all applicable advertising standards and regulations, including the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code) and any applicable social media platform rules. All promotional content must clearly disclose the commercial relationship (i.e., that the Participant receives a referral reward). Misleading or non-compliant promotional activity will result in suspension from the Referral Programme and may result in full account termination.

21.8 Programme Modification and Termination

The Company reserves the right to modify, suspend, or permanently terminate the Referral Programme at any time with 14 days' notice to active participants where reasonably practicable. Termination of the programme will not affect entitlement to rewards already earned in respect of qualifying referrals completed before the termination date.
